Terms of Service

Last updated: 25 October 2026

These Terms of Service (“Terms”) are a legally binding agreement between you and Seawolf Facilities Services Ltd, trading as “Gevu” (formerly Custodia), a company registered in England & Wales (no. 15028189), whose registered office is in England (“Seawolf”, “we”, “us”, or “our”). They govern your access to and use of the Gevu platform, including the web application, mobile application, associated APIs, and all current and future features and functionality made available through the platform (collectively, the “Service”). By creating an account, accepting these Terms, or continuing to use the Service in any capacity, you confirm that you have read, understood, and agree to be bound by them in full.

1. Permitted use and industry restriction

The Service is designed exclusively for professional cleaning services companies, commercial cleaning contractors, and facilities management businesses (“Cleaning Businesses”), and for the clients, employed staff, contracted staff, and property managers of those businesses who are invited to the platform by the Cleaning Business. The following may also hold their own accounts for the parts of the Service built for them: property managers (including short-let and holiday-let managers) on a property manager plan; suppliers to Cleaning Businesses, through the supplier portal and under the supplier terms shown there; self-employed contractors engaged by a Cleaning Business, through the contractor portal; accountants and bookkeepers a Customer grants read-only access to; and businesses posting a cleaning job on Gevu Connect. The Service is not available to any other type of business, industry, or individual.

By creating a primary workspace account, you represent and warrant that you are a Cleaning Business — meaning a business whose primary or material commercial activity is the provision of cleaning, janitorial, or facilities management services to third parties. Acceptable legal structures include: limited companies, limited liability partnerships, sole traders, and partnerships, provided they operate in the cleaning or facilities management industry. If you are a sole trader, you confirm you are operating a cleaning services business and not registering as a private individual.

The Service is not intended for and must not be used by consumers. By using the Service you confirm that the Consumer Rights Act 2015 and other consumer protection legislation do not apply to your use. We reserve the right to terminate access and refuse service to any user we reasonably believe does not operate a legitimate Cleaning Business or is otherwise ineligible under this section.

1A. Beta service and early pricing

The Service is in beta and will be for some time. That means: (a) it is still being built, and features may be added, changed, renamed or removed (removing a core feature of your plan follows the notice in section 16); (b) you may find errors, so keep your own copies of anything you could not afford to lose, and you can export your data at any time; and (c) prices during the beta are early prices, set lower than we expect to charge once the Service leaves beta, and we expect to increase them. Any increase follows section 4: at least 30 days’ notice, the right to cancel before it applies, and no change to an annual term you have already paid for. Where we have made you a written offer that fixes your price for a stated period (for example, a founding customer price), that offer applies instead for its stated period. Being in beta does not reduce our data protection obligations under section 7 or the Data Processing Policy.

2. Definitions

“Customer” means the business entity that creates a Gevu workspace and accepts these Terms on behalf of all Users within it. “User” means any individual who accesses the Service under a Customer’s workspace. “Customer Data” means all data uploaded to, generated within, or transmitted through the Service by the Customer or its Users. “AI Features” has the meaning given in our AI Usage Policy.

3. Eligibility and accounts

You must be at least 18 years old and have full legal authority to bind the Customer to these Terms. By accepting these Terms you represent and warrant that you have that authority. When creating a primary workspace account, you must provide: (a) a legitimate trading name or registered company name; and (b) where applicable, a company registration number issued by Companies House or equivalent authority. Providing false or fictitious company details is a misrepresentation and a breach of these Terms. You are solely responsible for all activity that occurs under your account and the accounts of all Users you invite or manage. You must keep login credentials confidential and notify us immediately of any suspected unauthorised access. We are not liable for any loss arising from your failure to maintain credential security.

3B. User eligibility — who may be invited to a workspace

A Customer may only invite the following categories of person to access their workspace as Users:

  • Staff: individuals who are currently employed by, engaged under a contract for services by, or otherwise working under the operational direction of the Customer as cleaning operatives, supervisors, managers, or administrative personnel directly involved in the Customer’s cleaning operations.
  • Clients: businesses, organisations, or individuals who are current or prospective recipients of cleaning services directly provided by the Customer, and who are granted limited access solely for the purpose of viewing, requesting, or managing those services.
  • Property managers: individuals or businesses acting in a property management capacity in respect of properties at which the Customer provides or is contracted to provide cleaning services, and who are granted access solely in connection with those services at those properties.

The Customer must not invite any person who does not fall within one of the categories above. In particular, the following are not eligible to be Users under any circumstances: Competitors (as defined in section 3A); members of the public with no connection to the Customer’s cleaning operations; employees or contractors of other cleaning businesses who are not directly working within the Customer’s own operations; or any person whose purpose in accessing the workspace is not directly connected to the Customer’s cleaning services business.

The Customer is solely responsible for verifying the eligibility of every person they invite and for removing Users who no longer meet the eligibility criteria (for example, upon termination of employment or end of a client contract). Inviting an ineligible person to a workspace constitutes a breach of these Terms. We reserve the right to remove any User we reasonably believe to be ineligible without notice to the Customer.

3C. Anonymous end-users of public tools

Certain features let an individual with no Gevu account interact with the Service anonymously, without becoming a User — including a public booking widget, a communal-area feedback page, a QR feedback form, and a public digital business card. Such an individual has no contract with Gevu under these Terms, and Gevu’s liability to them, if any, is governed by applicable law rather than by this agreement. The Customer offering any such tool to its own clients, site occupants, or members of the public remains solely responsible for its own obligations to those individuals, including any applicable consumer protection law, and for obtaining any consent needed before publishing an individual’s personal data — including a staff member’s name, photo, or contact details on a public digital business card — and for promptly removing that data on request or when it is no longer appropriate to publish (for example, when the staff member leaves).

3A. Non-competitor warranty

By creating an account, engaging with the Service in any capacity, or continuing to use the Service, you make the following representations and warranties on a continuing basis for the entire duration of your access. These representations are made as at the date of account creation and are deemed to be repeated on each day you access or use the Service:

  • You are not a Competitor (as defined below).
  • You are not employed by, engaged by, contracted to, seconded to, or otherwise working for or in the interests of a Competitor, whether on a full-time, part-time, freelance, advisory, or consultancy basis.
  • You are not a director, officer, founder, or partner of a Competitor, and you do not hold shares, options, warrants, or any other financial interest in a Competitor representing 5% or more of its equity, or any interest that gives you material influence over its direction.
  • You do not have any direct or indirect connection, association, or affiliation with a Competitor such that your access to the Service could benefit, inform, or be shared with that Competitor.
  • You are not accessing the Service — in whole or in part, and whether alone or with others — for the purpose of: (i) gathering competitive intelligence about the Service’s features, workflows, user interface, pricing, data architecture, business model, or operational methods; (ii) assisting in the design, development, improvement, testing, marketing, funding, or acquisition of any competing product, platform, or service; or (iii) informing any investment, commercial, or strategic decision relating to a Competitor or to the competitive landscape in which Seawolf Facilities Services Ltd operates.
  • You will not, at any time, share, disclose, transmit, publish, or make available to any Competitor, or to any person acting on behalf of or for the benefit of a Competitor, any non-public information about the Service, including but not limited to its features, user interface, data structures, API design, integrations, system prompts, internal workflows, roadmap, or pricing structure.

“Competitor” means any person, entity, partnership, joint venture, or other venture that provides, develops, markets, distributes, finances, acquires, or is planning to provide, develop, market, distribute, finance, or acquire any software platform, application, tool, or service — whether commercial, open-source, or otherwise — that is the same as, substantially similar to, or in direct or indirect competition with the Service, including: cleaning operations management software; field service management platforms; compliance and audit management tools; workforce scheduling and timesheet systems; client portal or property management software; and any platform combining two or more of the foregoing, in each case serving the cleaning or facilities management industry.

No circumvention. You must not attempt to circumvent this section by: creating an account in the name of a third party, shell entity, or nominee; engaging a third party to access the Service on your behalf; using anonymising tools or false identity information; or structuring any arrangement in a manner designed to obscure your connection to a Competitor. Any such arrangement shall itself constitute a breach of this section and a misrepresentation.

Right to investigate. We reserve the right to investigate any account or User where we have reasonable grounds to suspect a breach of this section. You agree that, upon our written request, you will provide truthful and complete information about your identity, employer, affiliations, and any connection to a Competitor, within 5 business days. Failure or refusal to provide such information within that period shall itself be treated as a breach of this section and a ground for immediate termination.

Remedies. A breach of any representation or warranty in this section — including any breach that becomes apparent only after account creation — shall constitute a material breach of these Terms and shall entitle Seawolf Facilities Services Ltd to: (a) terminate your account immediately, without notice, and without refund of any prepaid fees; (b) seek injunctive relief or other equitable remedy without the requirement to post a bond or to prove actual damage, it being acknowledged that breach of this section would cause irreparable harm to Seawolf Facilities Services Ltd for which monetary compensation would be an insufficient remedy; (c) claim all damages, losses, costs, and expenses (including legal fees on an indemnity basis) suffered as a direct or indirect result of the breach; and (d) pursue any other remedy available at law or in equity. You further acknowledge and agree that access obtained through misrepresentation of your competitor status renders the entire contract voidable at our election under the Misrepresentation Act 1967 and at common law, and that we may rescind the contract and recover any benefit conferred by your access.

4. Subscriptions and billing

New cleaning company accounts start with 10 days of account access without payment details. Choose a paid plan when you are ready; checkout takes the first payment immediately. If you do not choose a paid plan before the 10 days end, paid features lock until you subscribe. Property manager plans have their own free trial, shown at sign-up and checkout. Paid plans are billed in advance on a monthly or annual interval selected at checkout. Prices shown are the total amount charged; Seawolf Facilities Services Ltd is not currently VAT-registered, so no VAT is added. If this changes, VAT will be added and clearly stated at checkout and on your invoices before it applies to any charge. We may increase our prices. We will tell you at least 30 days before an increase takes effect, by email to your account’s billing contact and in the app. The new price applies from your first billing date after that notice period ends (for annual plans, from your next renewal; see section 4A). If you do not want to pay the new price, you can cancel before it takes effect and you will not be charged it. If your subscription continues after the effective date, you accept the new price. Capacity add-ons are billed separately. You are responsible for providing accurate billing information and for all charges incurred under your account. Disputed charges must be notified within 30 days of the invoice date; charges not disputed within that period are deemed accepted.

4A. Annual plans, price protection, and plan discontinuation

If you are on an annual billing interval, the price for your current paid term is locked at checkout and will not increase during that term. Any price change we make under this section or section 16 applies from your next renewal onward, following the applicable notice period. We will not use a mid-term price change to seek additional payment for a period you have already paid for.

This price lock does not limit our rights under sections 6B and 6C. Charges for Bug Exploits or for excess, automated, or abusive usage apply regardless of your billing interval or any amount already prepaid — a locked subscription price is not a licence to exploit bugs or abuse fair use limits, and does not cap our right to recover the resulting cost.

If we discontinue a specific subscription tier or pricing plan (as distinct from discontinuing the Service entirely under section 15(f)), we will give you at least 30 days’ notice. You may continue on your current plan and price until the end of your current paid term, after which you will move to an equivalent current plan at its then-current price unless you cancel. Where continuing to honour a discontinued plan’s original terms until the end of a prepaid annual term would, in our reasonable judgement, expose us to a serious and disproportionate financial risk, we may instead terminate the affected accounts early on at least 14 days’ notice, with a pro-rata refund of any prepaid fees for the unexpired period.

4B. Job Exchange marketplace

The Job Exchange lets a Cleaning Business (the “Lister”) list a client contract for another Cleaning Business (the “Subcontractor”) to cover, subject to Gevu’s moderation and the following commercial terms. A Lister must have working billing (a valid payment method on their Gevu subscription) and, for each listing, must attach a real client/site record with genuine contact details before the listing can be posted — these details are released in full to the Subcontractor automatically once an offer on that listing is accepted and both parties have signed the resulting agreement.

Fee consent. Before showing interest in a listing, a Subcontractor must expressly agree to that listing’s fee terms via an on-screen consent confirmation, which constitutes a binding agreement to pay the fees described below once an agreement is signed. Each listing carries one of two fee structures, set by the Lister: (a) a recurring percentage — Gevu’s platform fee plus the Lister’s referral cut, withheld automatically from each periodic payment for the duration stated on the listing (or for the life of the contract if no duration is stated); or (b) a one-off fee — a single flat amount, split between Gevu and the Lister, taken from the Subcontractor’s first payment, after which the Subcontractor retains the full agreed rate. A Subcontractor must have Stripe Connect enabled to receive contract payments, and — for one-off fee listings — must also have a valid Gevu billing method to pay that fee.

Non-payment of Job Exchange fees. If a Subcontractor’s recurring fee payment fails, we will notify both parties so it can be resolved. If payment fails twice in a row, the agreement is suspended and both parties receive written notice starting a 14-day cure period, during which the Subcontractor’s access to that specific contract continues uninterrupted. If payment remains unresolved when the cure period expires, the Subcontractor’s access to that contract’s client and site details, and their ability to assign staff cover to it, is locked until payment is brought up to date — this does not affect the Subcontractor’s access to any other part of the Service, and access is restored automatically and immediately once payment resolves. Customer Data relating to a locked contract is retained, not deleted, throughout.

Gevu’s role. In relation to the Job Exchange and Gevu Connect, Gevu is a technology intermediary only and is not a party to any contract formed between a Lister and a Subcontractor, or between a Gevu Connect poster and the Cleaning Business that responds to a listing. We do not guarantee the performance, solvency, insurance, quality of work, or payment conduct of either party, and we do not vet the accuracy of a listing beyond our moderation review. Liability for work quality, property damage, non-payment between the parties, or any other dispute arising from a contract formed through the Job Exchange or Gevu Connect rests solely between those parties. Our own liability for facilitating a Job Exchange or Gevu Connect match is limited, in addition to and not instead of section 12, to the platform fees actually retained by Gevu on the specific listing giving rise to the claim.

4C. Subcontractor Procurement board

The Subcontractor Procurement board (/subcontracting) lets an applicant self-declare whether they hold a DBS check and optionally upload a public liability insurance certificate. Gevu does not verify the accuracy of any applicant’s DBS status, insurance validity, qualifications, or any other self-declared credential. A Cleaning Business that engages a subcontractor sourced through the board is solely responsible for independently verifying that subcontractor’s credentials, insurance, and suitability before engaging them, and for all consequences of engaging a subcontractor without doing so.

4D. Own AI key discount

If you are on the Pro or Elite plan and connect a working API key from your own Google (Gemini API), OpenAI or Anthropic account for AI Features (see section 10A of our AI Usage Policy), we take 5% off your recurring subscription fee while the key stays connected and working. The discount:

  • starts from your next invoice after the key is saved, is not backdated, and does not change any invoice already issued;
  • ends automatically from your next invoice when the key is removed, stops working (including when the provider refuses it during our routine checks), or your plan changes to one other than Pro or Elite, and starts again if a working key is saved while you are eligible;
  • applies alongside any other discount on your subscription, applies only to the subscription fee (not to add-ons, token packs, usage or excess charges under section 6C, or marketplace fees), and has no cash value;
  • does not cover anything your AI provider charges you: usage on your own key is billed by that provider to you and is your responsibility.

We may change or withdraw this discount by giving you at least 30 days’ notice. Using a key you are not authorised to use, or connecting a key only to obtain the discount and then preventing its use, is a breach of these Terms and we may remove the discount and recover the amount discounted.

5. Cancellation and non-renewal

You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of the current billing period. Access to the Service continues until then. No refunds are issued for unused time in a prepaid period, except in the case of a verified billing error. See our Refund Policy for full details.

6. Acceptable use

These restrictions apply to all features and functionality of the Service, whether currently available or made available in the future, including but not limited to scheduling, payroll, compliance, invoicing, messaging, AI Features, and mobile functionality. You agree not to, and will ensure your Users do not:

  • (a) use the Service for any unlawful purpose or in breach of any applicable law or regulation in any jurisdiction;
  • (b) attempt to gain unauthorised access to any part of the Service, its underlying infrastructure, or to any other customer’s account or data;
  • (c) upload, store, transmit, or distribute any content — including through AI Features — that infringes or misappropriates the copyright, database rights, trade marks, design rights, patents, trade secrets, or any other intellectual property right of any third party. This prohibition applies to all content types across all features of the Service;
  • (d) use the Service to reproduce, closely imitate, circumvent technological protection measures protecting, or substitute for any copyrighted work, database, or other protected material, whether through manual input, AI-assisted generation, or any other means;
  • (e) upload or transmit malicious code, viruses, worms, ransomware, spyware, or any software intended to damage, interfere with, or gain unauthorised access to any system or data;
  • (f) upload, post, or transmit content that is defamatory, fraudulent, threatening, harassing, obscene, or unlawful in any applicable jurisdiction;
  • (g) reverse-engineer, decompile, disassemble, or attempt to derive the source code, algorithms, training data, or system prompts of the Service or any of its underlying components, including AI models;
  • (h) resell, sublicense, rent, lease, or white-label the Service or access to it without our prior written agreement;
  • (i) use automated tools, bots, scrapers, or crawlers to access, harvest, copy, or index any part of the Service or its data;
  • (j) impersonate any person or entity, or misrepresent your identity, affiliation, authority, or non-competitor status;
  • (k) use the Service in a way that could damage, disable, overburden, or impair it or degrade the experience of other users;
  • (l) access or use the Service for competitive intelligence purposes or in breach of section 3A (Non-competitor warranty); or
  • (m) use AI Features in breach of our AI Usage Policy.

Breach of any provision of this section may result in immediate suspension or termination of your account without notice or refund and may expose you to civil liability, criminal prosecution, or both. We reserve the right to report suspected illegal activity, including copyright infringement, to the relevant authorities.

6A. Emails sent from the CRM, and email tracking

Emails you send to contacts from the CRM go from your own connected mailbox, and you are the sender and the data controller for them. The CRM can record when a recipient opens an email and which links they click, using an invisible image and tracked links. This is switched on by default and can be turned off for your whole workspace, or for any single email, at any time. You are responsible for using it lawfully, including: telling recipients in your own privacy notice that you track emails; having a lawful basis (and consent where the Privacy and Electronic Communications Regulations 2003 require it) for each email you send and for tracking it; honouring any objection or unsubscribe request; and not using tracking data to make decisions about individuals that have legal or similarly significant effects on them. Open and click data is indicative only: some email apps block images, and some load them automatically without the recipient opening the email.

6D. Taking payments from your clients (Stripe)

If you take card payments from your own clients through the Service (for example when a client accepts a proposal or pays an invoice online), or receive Job Exchange payments, those payments are processed by Stripe through a Stripe connected account in your business’s name. By connecting one, you agree to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement (together, the “Stripe Terms”), as updated by Stripe from time to time. You authorise us to share with Stripe the information about you and your transactions that Stripe needs, and to give Stripe instructions on your behalf for payments made through the Service. You are the seller of your own services to your clients and are responsible for refunds, chargebacks and disputes with them.

6E. Payroll, timesheets and pay calculations

The Service works out hours and pay from the clock-ins, rates and rules you set, and produces timesheets and payslips for you to approve. We are not a payroll bureau or an accountant, and we do not file anything with HMRC on your behalf. You remain responsible as the employer for checking hours and figures before approving them, for paying at least the National Minimum or National Living Wage (including for travel time between sites where the law requires it), for holiday pay, statutory sick pay and other statutory payments, for PAYE and Real Time Information submissions, pensions auto-enrolment, and for keeping the records the law requires.

6F. Electronic signatures

The Service lets you, your staff and your clients sign proposals, contracts, policies and other documents electronically, and keeps a record of who signed, when, and the version they signed. Electronic signatures are generally valid in England and Wales, but you are responsible for deciding whether one is suitable for a particular document: some documents, such as deeds, may need a witnessed signature or another formality. Where a staff member reads an AI translation of a policy, the English version is the one they sign.

6G. Integrations and your own third-party accounts

You can connect services you hold your own account with, such as accounting software (FreeAgent, Xero, Sage), Google or Microsoft calendars and mailboxes, WhatsApp Business, Retell AI, and your own AI provider key from Google (Gemini API), OpenAI or Anthropic. Your use of each is governed by your agreement with that provider. We send data to them only as you set up, are not responsible for their availability, accuracy or how they handle data once received, and may change or stop an integration if the provider changes its service or terms. Any costs a provider charges you are your responsibility, including all usage charges on your own AI provider key, which we do not limit; you should set a spending limit with that provider.

6H. Messages and calls made through the Service

When you or your Users send emails, WhatsApp messages, push notifications or other messages through the Service, or use the AI receptionist to answer calls, you are the sender and are responsible for their content and for complying with the law, including the Privacy and Electronic Communications Regulations 2003 for marketing messages, honouring opt-outs, and telling callers that a call is recorded and answered by AI (the AI receptionist does this automatically). Test workspaces may only send email to test addresses, never to real people.

6I. Monitoring your staff

Location, clock-in, lone-worker, journey and vehicle features let you monitor how and where your staff work. You decide whether to use them and are responsible, as employer and data controller, for having a lawful reason, telling your staff clearly what is collected and why, carrying out a data protection impact assessment where the monitoring is likely to be high risk, and not using optional features to pressure staff who decline them.

6B. Bug discovery, disclosure, and liability for exploitation

You must not knowingly exploit any bug, error, vulnerability, or unintended behaviour in the Service — including in any AI Feature, billing or payment flow, token allocation system, access control mechanism, rate limit, subscription tier, or trial mechanism — for personal or commercial gain, or in any way that causes or risks causing financial harm to Seawolf Facilities Services Ltd, other customers, or any third party (a “Bug Exploit”). This prohibition applies whether or not the exploitation is intentional; reckless exploitation is treated as intentional for the purposes of this section.

By using the Service, you agree that:

  • (a) Responsible disclosure. If you discover any bug, vulnerability, or unintended behaviour in the Service, you will promptly report it in good faith to support@seawolfservices.co.uk, providing sufficient detail to allow us to reproduce and remediate it. You will not publicly disclose, publish, share, or otherwise reveal details of the bug to any third party before we have had a reasonable opportunity to remediate it, and in any event not before 90 days have elapsed from the date of your confidential report to us.
  • (b) No exploitation. You will not exploit any bug or unintended behaviour in the Service in any manner, including by: accessing features, content, or AI capacity to which you are not entitled; circumventing token limits, usage caps, rate limits, or subscription tiers; obtaining credits, tokens, refunds, or other financial benefits to which you are not legitimately entitled; bypassing, weakening, or disabling access controls; or manipulating billing, pricing, account status, or any other system function in a manner not intended or authorised by Seawolf Facilities Services Ltd.
  • (c) Full financial liability for Bug Exploits. Where a Bug Exploit by you or any User under your account — whether intentional or reckless — results in financial loss to Seawolf Facilities Services Ltd or to any third party, you shall be personally and fully liable for the entirety of that financial loss. You agree to pay on demand, without set-off or deduction, all costs, charges, and losses suffered or incurred by Seawolf Facilities Services Ltd or any affected third party, directly or indirectly resulting from the Bug Exploit. This includes, without limitation: AI model API costs incurred as a result of the Bug Exploit (including all costs attributable to tokens consumed beyond your legitimate entitlement); revenue foregone by Seawolf Facilities Services Ltd; the cost of investigation, security review, and remediation; and legal fees on an indemnity basis. This liability is in addition to, and does not limit or replace, any right Seawolf Facilities Services Ltd has to terminate your account under section 15 or to pursue any other remedy available at law or in equity.
  • (d) Agreement to pay third-party damages. Where a Bug Exploit causes loss or damage to any third party — including other customers of the Service — and that third party brings a claim against Seawolf Facilities Services Ltd in connection with your Bug Exploit, you agree to indemnify Seawolf Facilities Services Ltd in full in respect of that claim, including all resulting costs, liabilities, and legal fees. You further agree to pay directly to the affected third party, on demand, such sum as you are ordered to pay by a court of competent jurisdiction or as is agreed in settlement, to the extent that such sum is attributable to your Bug Exploit.
  • (e) Acknowledgement of harm and equitable relief. You acknowledge that a Bug Exploit may cause substantial, rapid, and in some cases irreversible financial and reputational harm to Seawolf Facilities Services Ltd, including AI API costs that accrue in real time, loss of platform integrity, and claims from third parties. You agree that injunctive relief or other equitable remedy may be sought and granted without the requirement for Seawolf Facilities Services Ltd to prove actual damage or to post a bond, it being acknowledged that the harm from a Bug Exploit may be incapable of adequate remedy in damages alone.

Bug Exploits constitute a material breach of these Terms and will result in immediate termination of access under section 15 without notice or refund. We reserve the right to report suspected fraud or intentional Bug Exploits to relevant authorities, including law enforcement and the Information Commissioner’s Office.

6C. Fair use and excess usage charges

AI Features are provided subject to a fair use allowance for your subscription tier, as described on our pricing page and enforced technically within the Service. Usage that runs on your own AI provider key (section 4D) is billed by your provider and does not count against this allowance. This section applies independently of section 6B and covers usage that is abusive or disproportionate even where no bug, vulnerability, or unintended behaviour is exploited.

We reserve the right to charge you, at our then-current published rates or (if none apply) our reasonable actual cost, for: (a) usage that exceeds your plan’s included fair use allowance; (b) usage arising from automated, scripted, bulk, or abnormal access patterns inconsistent with ordinary human use of the Service; and (c) any other usage we reasonably determine to be excessive or abusive relative to the ordinary operation of a single Cleaning Business of your size. Where such charges apply, we will notify you of the amount and basis of the charge and may suspend the relevant feature pending payment. We may also require you to purchase additional capacity or move to a higher subscription tier to continue using a feature at the volume you require. This section is in addition to, and does not limit, our rights under section 6B or section 15 (Termination).

7. Customer data and backups

You retain ownership of all Customer Data. You grant Seawolf a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display Customer Data solely as necessary to provide the Service. You are solely responsible for: (a) the legality, accuracy, and quality of Customer Data; (b) obtaining all consents required to upload personal data of third parties; (c) maintaining independent backups of Customer Data. We are not responsible for any loss or corruption of Customer Data arising from your actions, third-party actions, or circumstances outside our reasonable control. Our backup and replication practices are provided as a platform feature, not as a guaranteed recovery service, and do not substitute for your own backup obligations.

Data protection. For personal data in your workspace you are the controller and we are your processor. Our Data Processing Policy sets out the terms of that processing, as required by Article 28 of the UK GDPR, and forms part of these Terms. You can export your data at any time, including before your subscription ends.

Confidentiality. Each of us will keep confidential the other’s non-public business information received in connection with the Service, use it only for the purposes of these Terms, and disclose it only to people who need to know it and are bound by confidentiality, or where the law requires. This does not apply to information that is or becomes public other than through a breach of this clause.

8. Intellectual property

The Service and all associated software, algorithms, designs, trademarks, trade names, and documentation are and remain the exclusive intellectual property of Seawolf Facilities Services Ltd or its licensors. Nothing in these Terms transfers any intellectual property right to you. You receive a limited, non-exclusive, non-transferable, revocable licence to use the Service for your internal business purposes during the term of your subscription. Feedback, suggestions, or ideas you submit about the Service may be used by us without obligation or compensation to you.

9. No warranty

To the fullest extent permitted by applicable law, the Service — including all features, functionality, AI outputs, integrations, mobile applications, APIs, and any content or data generated by or through the Service — is provided “as is” and “as available” without warranty of any kind. We expressly disclaim all warranties, express, implied, statutory, or otherwise, including but not limited to: any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, title, quiet enjoyment, or non-infringement. We do not warrant that: (a) the Service or any feature of it will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) results obtained from using any part of the Service will be accurate, reliable, or legally compliant; (d) any errors or defects in the Service will be corrected; (e) the Service will be free from vulnerabilities, cyberattacks, or data breaches; or (f) any third-party service, API, or model integrated into the Service will remain available or perform to any particular standard. You use the Service and all of its features entirely at your own risk.

10. Availability, maintenance and force majeure

We will endeavour to keep the Service available but do not guarantee any level of uptime or availability. We may perform scheduled or emergency maintenance, apply security updates, or take the Service offline at any time to protect its integrity or that of other users. We will not be liable for any failure to perform or delay in performance of our obligations caused by circumstances beyond our reasonable control, including but not limited to: acts of God, war, terrorism, pandemic, strikes, governmental action, power failures, internet infrastructure failures, distributed denial of service attacks, failures of third-party service providers (including cloud hosting, payment processors, and AI model providers), or any other event outside our reasonable control (“Force Majeure Event”). Our obligations are suspended for the duration of any Force Majeure Event.

Mobile app distribution. Gevu currently offers one app for Android and iPhone. Android installs are distributed directly from the official Gevu website; iPhone access is by TestFlight invitation. Android installation requires you to allow installs from that source and bypasses the Google Play Store’s review and malware scanning for that file. Install only from an official Gevu link, and follow the instructions shown for your device.

11. AI-assisted features

Certain features use artificial intelligence models to generate documents, drafts, summaries, and analysis, or to take a limited action on your behalf (“AI Features”). AI outputs are produced by probabilistic models and may be inaccurate, incomplete, outdated, or misleading. You assume sole and full responsibility for reviewing, verifying, and approving all AI-generated content before use, distribution, or reliance. AI-generated RAMS, risk assessments, method statements, and safety documents are draft starting points only and must be reviewed and approved by a competent person before application to any worksite. Seawolf Facilities Services Ltd accepts no liability whatsoever for any loss, injury, death, regulatory penalty, claim, or other consequence arising directly or indirectly from AI-generated content. Use of AI Features is governed by our AI Usage Policy, which forms part of these Terms and is incorporated by reference.

Employment transfer (TUPE/ELI) tool. Seawolf Facilities Services Ltd is not a law firm and does not provide legal advice. Any Employee Liability Information dossier, transfer notice, or other document generated through the Service’s TUPE/ELI tool — whether or not it uses an AI Feature — is a draft aid only. You are solely responsible for its legal accuracy and completeness, for complying with the Transfer of Undertakings (Protection of Employment) Regulations 2006 and all other applicable employment law, for the lawful handling of any special category data it contains, and for obtaining your own legal advice before relying on it or sharing it with an incoming employer.

12. Limitation of liability

Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be excluded or restricted under English law.

Subject to the above, and to the fullest extent permitted by law:

  • Our total aggregate liability to you for all claims arising out of or related to these Terms or the Service, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the greater of: (i) the total fees paid by you to us in the three calendar months immediately preceding the event giving rise to the claim; or (ii) £100.
  • We shall not be liable for any: loss of profits; loss of revenue; loss of business or contracts; loss of anticipated savings; loss of or damage to data; loss of goodwill or reputation; business interruption; indirect, special, or consequential loss or damage of any kind; in each case whether or not foreseeable, even if we have been advised of the possibility of such loss or damage.
  • These limitations apply to all claims in aggregate, not per incident, and represent the entire financial exposure of Seawolf Facilities Services Ltd to you.

You acknowledge that the limitations in this section reflect a reasonable allocation of risk between commercial parties and form an essential basis of the bargain between us.

13. Indemnification

You agree to indemnify, defend, and hold harmless Seawolf Facilities Services Ltd and its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your or your Users’ breach of these Terms or the AI Usage Policy; (b) your or your Users’ misuse of the Service; (c) your or your Users’ violation of any applicable law or third-party right; (d) Customer Data, including any claim that Customer Data infringes a third party’s rights or was uploaded without proper authority or consent; (e) any reliance by you or any third party on AI-generated content produced through your account; or (f) your failure to obtain competent review of AI-generated health and safety documentation before use. This indemnification obligation survives termination of these Terms.

14. Suspension on reasonable belief

We may suspend access to the Service immediately and without prior notice where we hold a reasonable belief — on the basis of any information available to us, including but not limited to account behaviour, usage patterns, signup details, third-party reports, or our own investigation — that any of the following may be occurring or may have occurred:

  • the account holder or any User is a Competitor or is connected to a Competitor in a manner that would breach section 3A;
  • the account was created for the purpose of observing, surveilling, or gathering intelligence about the Service’s features, functionality, pricing, workflows, or user experience rather than for legitimate operational use as a Cleaning Business;
  • the account holder does not operate a genuine Cleaning Business or has provided false company details at signup;
  • any User has been invited to the workspace in breach of section 3B;
  • the account is being used for copyright infringement, competitive intelligence, fraud, or any other prohibited purpose under these Terms;
  • the account presents a security, legal, or reputational risk to the Service, to Seawolf Facilities Services Ltd, or to other customers;
  • unusual usage patterns or access behaviour are inconsistent with the account’s stated purpose or industry.

Suspension does not require proof of breach. A reasonable belief, honestly held, is sufficient. We accept no liability for any loss, damage, or inconvenience arising from a suspension carried out in good faith on reasonable grounds.

Following suspension, we will notify the account holder as soon as reasonably practicable (and in any event within 2 business days) of the suspension and its general basis. The account holder will have 5 business days from that notification to provide a written explanation and any evidence they wish us to consider. We will then either: (a) lift the suspension and restore access if satisfied the concerns were unfounded; or (b) proceed to permanent termination in accordance with section 15 below. We are not obliged to share the full details of our investigation or the sources of any information that formed the basis of our reasonable belief.

During any period of suspension, the account holder retains the right to export Customer Data if technically feasible, but has no right to require restoration of access pending the outcome of our review.

15. Termination

We may terminate your access to the Service immediately and permanently, without liability to you, if: (a) a suspension under section 14 is confirmed following review; (b) you breach any provision of these Terms, including the AI Usage Policy, section 3A, or section 3B; (c) access was obtained through misrepresentation, including false company details or false non-competitor warranty; (d) we are required to do so by law or regulatory authority; (e) you fail to pay subscription charges when due and do not remedy the failure within 7 days of written notice; or (f) we discontinue the Service. On termination for cause, no refund of any prepaid fees is payable. On termination not attributable to your breach, we will provide a prorated refund of prepaid fees for the remaining unexpired period. Following termination, Customer Data will be retained for 30 days and then permanently deleted, except where a longer retention period is required by law.

16. Changes to these Terms

We may modify these Terms, our pricing, our subscription tiers and their included features, and any other aspect of the Service, at any time and in our sole discretion. For material changes — including changes to the core features included in your subscription tier — we will provide at least 14 days’ notice by email or in-app notification before the changes take effect. Price increases always get at least 30 days’ notice and follow section 4. Minor or non-material changes, including clarifications, formatting, and operational updates that do not reduce your rights or increase your charges, may be made without notice. If you do not agree with modified Terms, you must stop using the Service before the effective date. Continued use after that date constitutes binding acceptance of the modified Terms. We will maintain a record of previous versions of these Terms accessible on request.

17. Governing law and disputes

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by and construed in accordance with the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales, save that we may seek injunctive or other equitable relief in any court of competent jurisdiction. Before commencing legal proceedings, each party agrees to attempt to resolve any dispute in good faith through senior-level discussion for a period of 30 days following written notice of the dispute.

18. General provisions

Entire agreement. These Terms, together with the AI Usage Policy, Privacy Policy, Data Processing Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between the parties in relation to the Service and supersede all prior representations, agreements, and understandings.

Severability. If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

Waiver. Failure by either party to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision and shall not prejudice the right to subsequently enforce it.

Assignment. You may not assign, transfer, or subcontract any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to any affiliate, successor, or acquirer of our business without your consent.

No third-party rights. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms.

Notices. Notices to us must be sent by email to support@seawolfservices.co.uk. Notices to you will be sent to the email address registered to your account.

Google Maps content. Parts of the Service, including address search, maps and the Google ratings shown in the Services Directory, use Google Maps Platform. By using those parts you also agree to the Google Maps/Google Earth Additional Terms of Service and acknowledge the Google Privacy Policy. Google ratings and reviews are shown as Google provides them; we don’t check, edit or store them, and they are separate from reviews collected by us.
